Please read these Terms of Service ("Terms") carefully before using CoinExchange.Cash ("Platform", "we", "us", or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Acceptance of Terms
By creating an account, connecting a cryptocurrency wallet, or otherwise using CoinExchange.Cash, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction), that you have the legal capacity to enter into a binding agreement, and that your use of the Platform complies with all applicable laws and regulations in your jurisdiction.
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. We may also notify you of material changes via email or in-app notification.
2. Platform Description
CoinExchange.Cash is a non-custodial peer-to-peer (P2P) cryptocurrency trading and lending platform. The Platform facilitates direct transactions between users through smart contract-based escrow mechanisms.
Non-custodial means: We never take custody of, hold, control, or have access to your private keys, wallet funds, or cryptocurrency assets. You retain full ownership and control of your digital assets at all times. All on-chain transactions are signed by you using your own wallet.
The Platform provides the following services: (a) peer-to-peer trading of cryptocurrencies using fiat payment methods arranged off-platform; (b) peer-to-peer over-collateralized lending; (c) on/off-ramp services via third-party providers; (d) token swap functionality via decentralized exchange aggregators; (e) prediction markets; and (f) communication tools for trade coordination.
3. Account Registration and Security
To use certain features, you must create an account or connect a compatible cryptocurrency wallet. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
You are solely responsible for maintaining the confidentiality of your account credentials, wallet private keys, seed phrases, and any two-factor authentication (2FA) devices. You must not share your credentials with any third party. You agree to immediately notify us of any unauthorized use of your account.
We strongly recommend enabling two-factor authentication (2FA) on your account. We are not liable for any loss or damage arising from your failure to secure your account or wallet credentials.
4. Escrow, Trading, and Fiat Payments
P2P trades on CoinExchange.Cash use a 2-of-3 multi-signature escrow system. In each trade, the three key holders are the buyer, the seller, and a platform-appointed arbitrator. Funds can only be moved with the agreement of at least two of the three parties.
The seller funds the escrow with the agreed cryptocurrency amount. The buyer makes payment using an agreed fiat payment method (bank transfer, mobile money, cash, etc.) arranged off-platform. The seller then confirms receipt of payment and releases the escrow, or the arbitrator intervenes in the event of a dispute.
Fiat payments are off-platform. CoinExchange.Cash does not process, hold, transmit, or guarantee any fiat currency payments. Fiat payments occur directly between users through their chosen payment method. You are solely responsible for verifying that you have received payment before releasing escrow funds.
Irreversibility: Blockchain transactions are irreversible once confirmed. Once cryptocurrency is released from escrow, it cannot be reversed or recovered by the Platform. Exercise extreme caution and verify all details before confirming any transaction.
5. Dispute Resolution
If a dispute arises during a trade, either party may open a formal dispute through the Platform. A platform-appointed arbitrator will review the evidence submitted by both parties, including payment proofs, chat logs, and any other relevant documentation.
The arbitrator's role is limited to the escrow mechanism: they can co-sign with either party to release funds to the buyer or return them to the seller, using their key as the second of the required 2-of-3 signatures. The arbitrator cannot unilaterally seize, redirect, or withhold funds beyond the scope of the escrow.
Arbitrator decisions are made in good faith based on available evidence. While we strive for fair outcomes, the Platform and its arbitrators are not liable for decisions that may not satisfy all parties. A dispute resolution fee may apply as detailed in our fee schedule.
You agree to participate in the dispute resolution process in good faith, to provide truthful evidence, and to accept the outcome as binding within the scope of the escrow transaction. Fraudulent claims or falsified evidence may result in account suspension or termination.
6. Peer-to-Peer Lending
The Platform facilitates over-collateralized peer-to-peer cryptocurrency lending. Borrowers post collateral exceeding the loan value (loan-to-value ratio), and lenders provide cryptocurrency that borrowers can access against their collateral.
Liquidation risk: If the value of a borrower's collateral falls below the agreed liquidation threshold due to market price movements, the collateral may be automatically liquidated to repay the lender. The Platform is not responsible for losses resulting from market volatility or liquidation events.
Both lenders and borrowers acknowledge the risks involved in P2P lending, including but not limited to: smart contract risk, market volatility, liquidation risk, and the potential for total loss of collateral or lent funds. Interest rates and terms are agreed upon between parties.
7. Fees
The Platform charges fees for certain services, including but not limited to: trading fees (charged as a percentage of the trade amount), dispute resolution fees (charged only when a dispute is formally opened), and optional reserve fund contributions. Current fee rates are displayed on the trade creation page and in the fee breakdown before you confirm any transaction.
Additionally, all on-chain transactions incur network gas fees (paid to blockchain validators, not to CoinExchange.Cash). Third-party services (on/off-ramp providers, swap aggregators) may charge their own fees separately.
We reserve the right to modify our fee structure at any time. Changes will be communicated in advance through the Platform. Fees applicable to a specific trade are locked at the time the trade is initiated and will not change mid-transaction.
8. Prohibited Activities
You agree not to use the Platform to:
- Violate any applicable local, state, national, or international law or regulation, including anti-money laundering (AML) and counter-terrorism financing (CTF) laws.
- Engage in money laundering, terrorist financing, tax evasion, fraud, or any other financial crime.
- Trade or transact using funds derived from illegal activities.
- Create multiple accounts to circumvent restrictions, bans, or trade limits.
- Manipulate trade prices, engage in wash trading, or artificially inflate trading volumes.
- Submit fraudulent dispute claims or falsify evidence during dispute resolution.
- Use bots, scripts, or automated tools to manipulate the Platform (unless through approved APIs).
- Harass, threaten, or abuse other users through the Platform's communication tools.
- Attempt to hack, exploit, or interfere with the Platform's infrastructure, smart contracts, or security systems.
- Use the Platform from a jurisdiction where cryptocurrency trading is prohibited.
- Impersonate another person or entity, or falsely represent your identity.
Violation of these prohibitions may result in immediate account suspension or termination, forfeiture of any pending transactions, and reporting to relevant authorities.
9. Know Your Customer (KYC) and Anti-Money Laundering (AML)
To comply with applicable regulations, the Platform may require identity verification (KYC) for certain activities, such as higher trade volumes, fiat on/off-ramp access, or when flagged by our risk monitoring systems. Verification is performed through our third-party KYC provider.
You agree to provide truthful and accurate identity documents when requested. Failure to complete verification when required may result in restricted access to certain Platform features or account suspension.
We implement AML monitoring and may report suspicious activity to relevant financial authorities as required by law. We reserve the right to refuse service to any person or entity for any reason, including suspected involvement in prohibited activities.
10. Intellectual Property
All content, designs, logos, trademarks, software, and technology on the Platform are owned by or licensed to CoinExchange.Cash and are protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any Platform content without our prior written consent.
By submitting content to the Platform (such as trade terms, payment method suggestions, or dispute evidence), you grant us a non-exclusive, worldwide, royalty-free license to use, display, and process such content solely for the purpose of operating the Platform.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COINEXCHANGE.CASH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.
Without limiting the foregoing, the Platform is not liable for: (a) losses resulting from cryptocurrency price volatility or market movements; (b) losses resulting from unauthorized access to your wallet or account due to your failure to secure credentials; (c) losses resulting from blockchain network failures, congestion, or smart contract bugs; (d) losses resulting from the actions or omissions of other users, including counterparties in trades or loans; (e) losses resulting from off-platform fiat payment failures, chargebacks, or fraud; (f) any decision made by an arbitrator during dispute resolution; (g) losses resulting from third-party service failures (KYC providers, swap aggregators, on-ramp providers).
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any content, including market data, price feeds, or user-submitted information.
Cryptocurrency and blockchain technology are experimental and evolving. Smart contracts may contain undiscovered vulnerabilities. You use the Platform and interact with blockchain networks at your own risk.
13. Indemnification
You agree to indemnify, defend, and hold harmless CoinExchange.Cash, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third party's rights; (e) any content you submit to the Platform; or (f) any dispute between you and another user.
14. Privacy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Platform, you consent to the data practices described in the Privacy Policy.
15. Account Termination and Suspension
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, suspected fraudulent or illegal activity, failure to complete required KYC verification, or extended inactivity.
You may close your account at any time by contacting support. Upon account closure or termination, you remain responsible for any pending trades, loans, or obligations. Any cryptocurrency held in active escrow will be resolved according to the applicable escrow rules before your account is fully closed.
Provisions of these Terms that by their nature should survive termination (including but not limited to limitation of liability, indemnification, and dispute resolution) shall survive.
16. SMS Communications
CoinExchange.Cash may send SMS text messages to your mobile phone number for account verification, security alerts, trade notifications, loan alerts, and other service-related communications. By providing your phone number and enabling SMS notifications, you expressly consent to receive recurring automated text messages from CoinExchange.Cash.
Message frequency varies based on your account activity and notification settings (approximately 2-20 messages per month). Message and data rates may apply. Your consent to receive SMS messages is not a condition of any purchase or use of the Platform.
You may opt out of SMS messages at any time by replying STOP to any message or by disabling the SMS notification channel in your account settings. For help, reply HELP to any message or visit our Help Center.

17. Geographic Restrictions
The Platform is not available to persons or entities in jurisdictions where cryptocurrency trading is prohibited by law, or where we are unable to provide services due to regulatory requirements. It is your responsibility to determine whether your use of the Platform is lawful in your jurisdiction.
The Platform is not offered to residents of sanctioned countries or territories as designated by the United Nations, OFAC (U.S. Office of Foreign Assets Control), or equivalent bodies. We may use geolocation tools and other methods to enforce geographic restrictions.
18. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, cyberattacks, blockchain network failures or hard forks, government actions or regulatory changes, pandemics, power outages, or internet disruptions.
19. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising under these Terms that cannot be resolved through the Platform's dispute resolution process shall be submitted to binding arbitration in accordance with the rules of a recognized international arbitration body.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CLASS ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING. You waive any right to participate in a class action lawsuit or class-wide arbitration.
20. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
21. Entire Agreement
These Terms, together with our Privacy Policy and Risk Disclosure, constitute the entire agreement between you and CoinExchange.Cash with respect to your use of the Platform and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
